Nocoms public offers to the shareholders of TurnIT and IAR Systems are extended
Nocom AB (publ) has been provided with approximately SEK 36.6 million in conjunction with option holders subscribing to new shares in the company up until June 30, 2005. The options originally comprised compensation for stock in TurnIT, in accordance with Nocom’s offer to TurnIT option holders, made public in December 2004. The option programs were established in conjunction with the acquisition of TurnIT, option holders in which could choose between two types of Nocom option. One option program provided a subscription right (Nocom TO 1B) to one new Series B Nocom share for SEK 3.00 to be redeemed no later than June 30, 2005, and this program has now elapsed. The other option program provides a subscription right (Nocom TO 2B) to one new Series B Nocom share for SEK 3.00 to be redeemed no later than December 20, 2006. Nocom has now received a total of approximately SEK 36.6 million from subscriptions to new Nocom shares made through the redemption of options attributable to TO 1B options and to TO 2B options. Continued full utilization of the remaining 10,980,649 TO 2B options could provide Nocom with a further sum of approximately SEK 32.9 million during 2005-2006. The completed subscriptions to new Series B Nocom shares increase the number of shares by 12,221,512 from 86,689,647 to 98,911,159, of which 1,000,000 are Series A shares and 97,911,159 are Series B shares. This is based on the level of acceptance to the TurnIT and IAR Systems offers as of June 1, 2005 and new share subscriptions as of June 30, 2005.
